Ugly Door Contest Terms and Conditions

This July/August, The Flying Locksmiths are looking do their patriotic duty by finding the ugliest door in America that only a CFO looking to save a buck could love. We want to do a “before and after” remodel to show you that anything is possible in this great country of ours – including transforming the most beastly commercial door into a beauty that you can be proud for your employees, customers, neighbors, friends, and family alike to see and use. So send us a photo of the ugliest, gnarliest, worst-kept commercial “Ugly Door” that your company wishes it could hide! Any photo submitted must be a photo of an actual commercial door used by your company, which you have the right to authorize work to be done on, and the photo must be a true representation of your door (e.g., not digitally altered or otherwise modified in any way, shape, or form).] TFL defines a commercial door, as a hollow metal door that is used at a place of business and not comprised of wood. Common commercial doors are roughly 36” x 80” and any entries need to be comparable in size. This contest does not include large, oversized doors. In regards to door hardware, this contest will include the components necessary to operate the door and not ancillary pieces. Hardware that TFL would replace, if necessary includes, hinges, exit devices, closers, frames, sweeps, thresholds, locking hardware. This does not include access control or alarms.

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND DOES NOT INCREASE YOUR CHANCES OF WINNING.

Eligibility. This Ugly Door Contest (the “Contest”) is open only to those companies whose authorized representative signs up and submits an entry, including a photo of the company’s ugly door at www.flyinglocksmiths.com/uglydoors , and whose authorized representative is eighteen (18) years of age or older as of the date of entry. The Contest is only open to validly existing companies, located in the contiguous United States of America, where TFL has an open and operational local office and with a commercial door that the company has all of the necessary rights and authority to have locksmith work performed on it to be awarded the Prize as contemplated by these Rules. This Contest is void where prohibited by law. Employees of TFL Franchise Systems, LLC (“The Flying Locksmiths”), its affiliates, subsidiaries, advertising and promotion agencies, and suppliers, and their immediate family members (spouses, grandparents, parents, siblings, children, and grandchildren) and/or those living in the same household, are not eligible to participate in the Contest. The Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

Agreement to Rules. By participating in the Contest, you, as the authorized representative of your company, acknowledge and agree that your company (the “Contestant”) agrees to be fully and unconditionally bound by each of the terms and conditions of these official contest rules (the “Rules”), and you represent and warrant that (a) the Contestant meets the eligibility requirements, and (b) you are an authorized representative of the Contestant with the full power and authority to act on behalf of the Contestant and to bind it to these Rules. In addition, the Contestant agrees to accept the decisions of The Flying Locksmiths as final and binding as it relates to the content of the Rules and this Contest.

Contest Period. Entries will be accepted online starting on 7/1/19 at 8:00AM EST and ending 8/31/19 at 8:00AM EST (the “Contest Period”). All online entries must be received during the Contest Period in order to be eligible to be judged and eligible to win. The Flying Locksmiths’ computer is the official time-keeping device for purposes of determining the Contest Period.

How to Enter. In order to enter the Contest, an entry must be submitted by using the online form provided at www.flyinglocksmiths.com/uglydoors. The entry must fulfill all Contest requirements, including providing all information requested, as specified in the online form, in order to be eligible to win the Prize. By entering, the Contestant represents and warrants (a) that it owns all right, title, and interest in and to the picture of the Ugly Door submitted with its entry; and (b) submitting the picture of the Ugly Door does not violate the rights of any third parties. No lewd, nude, crude, or offensive photographs (as determined by The Flying Locksmiths in its sole and absolute discretion) will be accepted or tolerated. Entries that are incomplete or do not strictly adhere to the Rules or other specifications may be disqualified at the sole discretion of The Flying Locksmiths. Each Contestant may enter only once, so choose your Ugly Door wisely. For clarity, a Contestant may not enter more times by using multiple email addresses, identities, or devices in an attempt to circumvent the Rules. If you attempt to circumvent the rules, each of your submissions, including any original entry that may otherwise have been eligible, may be deemed null and void at the sole discretion of The Flying Locksmiths. No cheating!

Prize. The one (1) winner of the Contest selected as specified in Section 7 below (the “Winner”) will receive repairs or replacements of a commercial door and it’s various components/hardware, with parts and labor having a maximum aggregate value of Two Thousand Dollars ($2,000.00) (the “Prize”). The actual value may differ at the time of the Prize award based on the scope of the work agreed to by The Flying Locksmiths and the Winner and then actually performed on the Ugly Door by a franchisee of The Flying Locksmiths. The specifics of the Prize will be solely determined by The Flying Locksmiths or its authorized representative following consultation with the Winner. No cash or other Prize substitution will be permitted. The Prize is nontransferable. Any and all Prize-related expenses, including without limitation any and all federal, state, and/or local taxes, will be the sole and exclusive responsibility of the Winner. Acceptance of the Prize constitutes permission for The Flying Locksmiths to use the Winner’s name, likeness, entry, and before and after photos of the delivered Prize for purposes of advertising and trade without further compensation to the Winner, unless otherwise expressly prohibited by applicable law or regulations.

Odds. The odds of winning depend on the number of eligible entries received by The Flying Locksmiths during the Contest Period.

Winner Selection and Notification. The Winner will be selected by a majority vote of the franchisees of The Flying Locksmiths (one vote per franchisee), chosen from a pool of the top ten (10) eligible entries selected by The Flying Locksmiths, based on online voting results during the seven (7) days following the Contest Period, provided that a run-off vote will be held in the event that multiple eligible entries are tied with the most votes until a single Winner has been selected. The Winner will be notified by email within five (5) business days following the selection of the Winner. The Flying Locksmiths will have no liability for the Winner’s failure to receive notices due to spam, junk e-mail, or other security settings, or for Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner cannot be contacted, is ineligible, is disqualified for any reason, fails to claim the Prize within seven (7) days after the time award notification was sent or attempted, or fails to timely return a completed and executed declaration of compliance and release in a form and format as required by The Flying Locksmiths within seven (7) days after receipt of notice, the Prize will be forfeited and the next highest vote recipient will be named the Winner. Receipt by the Winner of the Prize offered in this Contest is conditioned upon compliance with any and all federal, state, and local laws and regulations. The Winner must complete and sign a Form W-9. ANY VIOLATION OF THESE OFFICIAL RULES BY THE WINNER (AT THE FLYING LOCKSMITHS’ SOLE DISCRETION) WILL RESULT IN THE WINNER’S DISQUALIFICATION AS THE WINNER OF THE CONTEST, AND ALL RIGHTS OR PRIVILEGES AS THE WINNER WILL BE IMMEDIATELY TERMINATED AND NULL AND VOID.

Rights Granted by You. By entering this Content (e.g., photo, text, etc.), the Contestant understands and agrees that The Flying Locksmiths, anyone acting on behalf of The Flying Locksmiths, and The Flying Locksmiths’ franchisees, licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, the Contestant’s entry, name, portrait, before and after pictures, voice, likeness, image, statements about the Contest, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes, in each case without any further compensation, notice, review, or consent.

Further, by entering this Contest, the Contestant represents and warrants that your entry is an original work of authorship, and does not violate any third party’s proprietary or intellectual property rights. If your entry infringes upon the intellectual property right of another, the Contestant will be disqualified at the sole discretion of The Flying Locksmiths. If the content of your entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, the Contestant shall, at its sole cost and expense, indemnify, defend, and hold harmless The Flying Locksmiths and its subsidiaries, affiliates, and franchisees, and their respective advertising and promotion agencies, partners, representatives, agents, successors, assigns, members, employees, officers, and directors from and against any suit, proceeding, claim, liability, loss, damage, costs or expense (including without limitation reasonable attorneys’ fees and costs), which The Flying Locksmiths may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party’s right.

By entering the Contest, the Contestant acknowledges and agrees that Facebook, Inc. and www.facebook.com (collectively, “Facebook”) are not affiliated in any way with The Flying Locksmiths or this Contest.  The Contest is in no way sponsored, endorsed, or administered by or associated with Facebook, and you expressly waive any and all claims of liability against Facebook for any and all claims, loss, damage, or injury which may occur as a result of Contestant’s participation in the Contest.

Finally, by entering this Contest, the Contestant affirmatively acknowledges and agrees that, in the event that the Contestant is not selected as the Winner, The Flying Locksmiths or one of its franchisees may contact the Contestant to provide a proposal for potential work to be performed on the commercial door that you submitted with your entry, provided that neither the Contestant nor The Flying Locksmiths or any of its franchisees has any obligation to enter into an agreement to perform any such work.

Terms & Conditions. The Flying Locksmiths reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Contest should virus, bug, non-authorized human intervention, fraud, or other cause beyond The Flying Locksmiths’ control corrupt or affect the administration, security, fairness, or proper conduct of the Contest. In such case, The Flying Locksmiths may select the Winner from all eligible entries received prior to and/or after (if appropriate) any such action taken by The Flying Locksmiths. The Flying Locksmiths reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Contest or website or violates these Rules. The Flying Locksmiths has the right, in its sole discretion, to maintain the integrity of the Contest, to void votes for any reason, including but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws. Should such attempt be made, The Flying Locksmiths reserves the right to seek damages and to seek enforcement against the relevant party or parties to the fullest extent permitted by law or under equity.

Limitation of Liability. By entering the Contest, you agree to release and hold harmless The Flying Locksmiths and its subsidiaries, affiliates, and franchisees, and their respective advertising and promotion agencies, partners, representatives, agents, successors, assigns, members, employees, officers, and directors from any and all any suit, proceeding, claim, liability, loss, damage, costs or expense (including without limitation reasonable attorneys’ fees and costs) that may occur, directly or indirectly, whether caused by negligence or not, from one or more of the following: (a) such entrant’s participation in the Contest and/or its acceptance, possession, use, or misuse of any Prize or any portion thereof; (b) technical failures of any kind, including but not limited to the malfunction of any computer, device, cable, network, hardware, or software, or other mechanical equipment; (c) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (d) unauthorized human intervention in any part of the entry process or the Contest; (e) electronic or human error in the administration of the Contest or the processing of entries; or (f) similar causes.

Disputes. THIS CONTEST IS GOVERNED BY THE LAWS OF THE COMMONWEALTH OF MASSACHUSETTS, WITHOUT RESPECT TO ITS CONFLICT OR CHOICE OF LAW DOCTRINES. As a condition of participating in this Contest, the Contestant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Massachusetts having jurisdiction. Further, in any such dispute, under no circumstances will Contestant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees and costs, other than Contestant’s actual out-of-pocket expenses (i.e., the actual cost incurred by the Contestant in connection with entering this Contest). The Contestant further waives all rights to have damages multiplied or increased at law or in equity.

Winners List. To obtain a copy of the Winner’s name or a copy of these Rules, either visit www.flyinglocksmiths.com/uglydoors, or mail your request along with a stamped, self-addressed envelope to: The Flying Locksmiths, TFL Franchise Systems, LLC, 100 Grossman Drive, Suite 305, Braintree, MA 02184 USA. Requests must be received no later than ninety (90) days after the end of the Contest Period. The Winner will be posted promptly after Winner confirmation is completed by The Flying Locksmiths.

By checking here, you, as the authorized representative of the Contestant, have affirmatively reviewed, accepted, and agreed to all of these Rules, including without limitation your affirmative acknowledgement and agreement that, in the event that the Contestant is not selected as the Winner, The Flying Locksmiths or one of its franchisees may contact the Contestant to provide a proposal for potential work to be performed on the commercial door that you submitted with your entry, provided that neither the Contestant nor The Flying Locksmiths or any of its franchisees has any obligation to enter into an agreement to perform any such work.
